Job Summary: Prime Finance is looking for a motivated and collaborative private funds attorney to join as a key member of our Fund Legal and Compliance team. The attorney will report to our Managing Director, Legal and Chief Compliance Officer and work on a range of legal and regulatory compliance matters supporting the funds sponsored by Prime Finance, as well as other corporate and strategic matters. The position is available in any of our three offices.
Responsibilities
- Provide broad legal and regulatory support on fund formation matters and coordinate with outside counsel and internal teams (including Tax, Investor Relationships, Fund Accounting, Investment Strategy teams, etc.) on closings and fund documentation.
- Assist with managing the firm's compliance program; monitor, enforce and improve policies and procedures.
- Review marketing materials and investor reporting and provide support to investor relations, data analytics and other internal teams on a variety of investor requests, including DDQs.
- Assist with the firm's general legal and regulatory matters and address internal and external legal inquiries.
- Monitor applicable legal and regulatory developments that may impact the firm's strategies, funds, investment and/or business activities, and recommend solutions to address and mitigate potential disruptions.
- Support new business initiatives and special projects.
- Collaborate with relevant internal teams to evaluate and improve internal processes and take on additional responsibilities based on experience, abilities, and interest.
Minimum Qualifications
- 6‑8 years as a private funds attorney at a top law firm or comparable in‑house legal experience at a registered investment adviser, preferably with private equity, real estate or direct lending experience.
- Strong familiarity and functional experience with the Advisers Act, '40 Act and regulatory issues relating to private funds and registered investment advisers.
- JD from an accredited law school. Admitted to the bar and in good standing.
- Skillset to understand, adopt and improve internal approach, and ability to adapt in a fast‑paced environment.
- Organized and detail‑oriented with excellent analytical and written and oral communication skills, including the ability to interact effectively with senior management and communicate complex concepts to internal stakeholders at all levels in a simple, understandable manner.
- Demonstrated ability to maintain strict confidentiality of our investors', partners' and internal affairs.
- Must be able to simultaneously plan, manage and organize multiple projects under deadline pressure, and to follow up and follow through.
- Must be flexible to respond quickly and positively to shifting demands and opportunities.
- Experience with real estate investment trust (REIT) regulatory frameworks, structures, and investment strategies is a plus.
The expected salary for this role is $169,000‑$255,000. Actual compensation will be determined by several components, including but not limited to relevant experience, skills and qualifications, base salary of internal peers, and geographic location. In addition to base salary, this role may be eligible for a discretionary annual bonus and a variety of financial, wellbeing, and health/welfare benefits.
