The Role

As Corporate Counsel, you will operate as a commercially focused legal partner, supporting the business across a broad range of transactional, development, and operational matters.

You will take ownership of legal workstreams across project acquisitions, realestate, financing structures, and commercial contracting, ensuring efficient execution while managing risk and enabling growth.


This is a highly visible role at the centre of the business, partnering directly with leadership and cross-functional teams to drive the legal execution of transactions, commercial agreements, and strategic initiatives.


Key Responsibilities

  • Provide day-to-day legal guidance across the business, delivering practical, commercially focused advice to internal stakeholders
  • Lead and support transactional activity, including acquisitions, divestitures, joint ventures, and partnership structures
  • Draft, review, and negotiate a broad range of commercial agreements, including EPC contracts, project finance agreements, real estate documentation, services agreements, and term sheets
  • Support and negotiate MIPAs and other acquisition-related documentation across project transactions
  • Identify, assess, and mitigate legal and commercial risks associated with development, financing, and operational activities
  • Partner closely with teams across development, finance, construction, and operations to support project execution
  • Manage and coordinate external counsel, ensuring efficient delivery across multiple workstreams
  • Support project financing activities, including coordination with lenders, investors, and advisors
  • Monitor regulatory and legal developments, translating changes into actionable business insights
  • Help build and scale internal legal processes, templates, and frameworks as the company grows


Candidate Profile

  • Juris Doctor (JD) with 5–8+ years of experience in corporate, transactional, or infrastructure-related law.
  • Experience within a top-tier law firm and/or in-house legal environment.
  • Strong background in drafting and negotiating complex commercial and transactional agreements.
  • Exposure to renewable energy, infrastructure, or project-based industries preferred
  • Familiarity with project finance and/or tax equity structures is advantageous.
  • Commercially minded, with the ability to translate legal complexity into practical guidance.
  • Highly organised, detail-oriented, and able to manage multiple concurrent priorities.
  • Strong communication and stakeholder management skills, with the ability to operate effectively across teams.
  • Licensed to practice law and in good standing with a relevant state bar.
