Description:

The client is seeking a Corporate Associate with 2-5 years of relevant experience to join their Transactions Practice Group in Silicon Valley, San Francisco, or New York. The ideal candidate will work on a variety of corporate matters, including emerging companies & venture capital (ECVC) financing, M&A, private equity, and general corporate counseling for both publicly and privately held companies, private equity funds, and other investors and entrepreneurs.

Key Responsibilities:

  • Handle venture capital/early-stage financings, mergers, acquisitions, dispositions, joint ventures, and other commercial transactions.
  • Provide general corporate counseling to clients, ensuring strategic guidance for their business and transactional needs.
  • Work in a collaborative environment, managing transactions and interacting directly with partners and clients.
  • Draft sophisticated transactional documents and manage projects related to corporate matters.
  • Develop client-facing relationships while supporting long-term corporate practice growth.
Qualifications:
  • 2-5 years of experience in corporate law, with significant exposure to venture capital financing, M&A, private equity, and general corporate counseling.
  • Strong document drafting and project management skills.
  • Exceptional writing and communication skills.
  • Positive attitude, strong interpersonal skills, and an exceptional work ethic.
  • Comfortable with direct client interaction and building relationships with partners.
  • Must hold a JD from an ABA-approved law school and be an active member of the Bar in the jurisdiction where the candidate is admitted to practice.
