Senior Corporate Paralegal (Hybrid)

Description:

Innovative Driven is currently seeking a dynamic Senior Corporate Paralegal with at least five years of experience focused in Capital Markets, Startups and Mergers & Acquisitions to join the team at one of our most well-respected law firm clients!

The firm stands as one of the nation's most premier law firms for tech and life sciences companies, working with some of the most forward-thinking corporate clients for over 50 years!

This position will have a hybrid schedule of three days onsite per week, required, and two days remote.

The work schedule for this position will be 37.5 hours per week (non-exempt), Monday - Friday, from 9:00 am - 5:30 pm.

DUTIES
  • Facilitation of IPO's and public company matters and registration statement numerical backup spreadsheets, beneficial ownership tables
  • Completion of '34 act, Section 16 reporting, Rule 144 and legend removal letters
  • Handling transfer agent onboarding, stock exchange applications, FINRA filings, selling stockholder matters
  • Managing the workflow for closing documents, closing volumes and board resolutions and minutes.
  • Updating corporate records management, stock option plan implementation and administration, venture capital financings
  • Collecting due diligence documents and organize electronic data sites
  • Performing diligence research and capitalization due diligence
  • Coordinating shareholder mailings and regulatory filings
  • Drafting and manage signing and closing documents, and preparing closing volumes.
REQUIREMENTS
  • 5+ years of corporate and transactional experience, including work with capital markets and start ups.
  • Experience in capitalization maintenance platforms such as Carta and ShareWorks.
  • Experience working in a large corporate setting or law firm
  • Substantial experience with Excel spreadsheets
  • A four-year degree and/or a paralegal certificate from an ABA-approved program
