ASSOCIATE ATTORNEY - CAPITAL MARKETS

Our client, a globalAmLaw 50 firm, is seeking a talented Associate Attorney to join its innovative Corporate Finance & Capital Markets practice. This is an outstanding opportunity to be part of a leading transactional team known for its deep industry knowledge, global reach, and cutting-edge deal execution across sectors including asset management, private credit, private equity, and life sciences.

Candidate Profile

• JD from a top-tier law school with a strong academic record.
• Active Bar Admission in Massachusetts, in good standing.
• 5+ years of substantive experience in capital markets transactions.
• Experience representing issuers, underwriters, and placement agents in public offerings and private placements of securities.
• Proficiency in securities law compliance, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Familiarity with business development companies (BDCs), registered closed-end funds, and other 1940 Act entities is a plus.
• Demonstrated ability to manage complex transactional workflows from diligence through closing.
• Large law firm experience strongly preferred.
• Strong drafting skills, commercial judgment, and a detail-oriented approach.

Key Responsibilities

• Represent issuers, underwriters, and sponsors in equity and debt offerings, private placements, and other securities transactions.
• Draft and negotiate offering memoranda, registration statements, underwriting agreements, and other transactional documents.
• Advise clients on compliance with federal securities laws and regulatory filings under the 1933 Act and 1934 Act.
• Work on a variety of capital-raising transactions, including IPOs, follow-on offerings, high-yield and investment-grade debt offerings, and sovereign bond deals.
• Collaborate with attorneys across corporate, tax, and regulatory teams to structure and execute cross-border offerings and capital markets transactions.

Compensation & Benefits

• Competitive Salary: $365,000+, commensurate with experience and class year.
