Key Responsibilities

• Advise life sciences companies and healthcare investment funds on a range of corporate and securities transactions
• Manage public capital markets matters, including IPOs, follow‑on offerings, and ATM programs
• Handle private offerings, including PIPEs and venture capital financings
• Prepare and review '34 Act reporting (10-K, 10-Q, 8‑K) and other public company disclosures
• Support public and private M&A transactions, including structured deals such as earnouts, carve‑outs, spin‑outs, and product acquisitions
• Deliver practical, strategic advice to clients, anticipating risks and identifying actionable solutions
• Collaborate with senior attorneys across offices on high‑value transactional matters
• Maintain strong communication with clients, providing timely updates and guidance
• Stay current on legal developments in the life sciences and capital markets sectors

Qualifications

• Juris Doctor from an accredited law school
• Admission to the California Bar, or eligibility to obtain admission promptly
• 2–6 years of relevant experience (class years 2018–2022 preferred)
• Strong background in corporate transactions for life sciences companies and/or healthcare investment funds
• Experience in capital markets, private equity/venture financings, and M&A
• Excellent drafting, negotiation, and written communication skills
• Ability to manage multiple matters, deadlines, and client priorities
• High level of professionalism, judgment, and client service
