Overview

Our client, a rapidly growing alternative investment platform, is seeking a Senior Fund Formation Attorney to join their legal team. Reporting directly to the General Counsel, this role will be instrumental in supporting the firm's long-term growth across fund formation, regulatory compliance, investor onboarding, and legal operations. The ideal candidate is a self-starter with deep experience in private funds and investment management, and an interest in leveraging technology and AI in legal work.

Responsibilities

  • Fund Formation: Manage and assist with the structuring, documentation, and setup of investment vehicles, including private placement memoranda, LPAs, and subscription documents.
  • Regulatory Compliance: Ensure ongoing compliance with U.S. securities laws, including the Investment Advisers Act, Investment Company Act, and SEC filings.
  • Investments: Support due diligence, co-investments, and side letter negotiations.
  • Investor Relations: Oversee onboarding, subscription review, and client due diligence processes.
  • Document Management: Draft and maintain key compliance and governance documents, including Form ADV and client agreements.
  • Internal Collaboration: Partner with legal, product, and engineering teams on new product initiatives and regulatory matters.

Qualifications

  • Minimum 6 years of fund formation experience (in-house or law firm).
  • Strong understanding of investment management and securities regulations.
  • Familiarity with broker-dealer or bank regulatory frameworks is a plus.
  • Exceptional organizational, analytical, and communication skills.
  • Proactive, hands-on problem solver comfortable working in a tech-enabled environment.
