Contracts Corporate Counsel

The Contracts Corporate Counsel provides strategic legal support for complex business and research-related transactions. This role is responsible for drafting, negotiating, and advising on a broad range of contracts supporting research and development operations. The position requires strong transactional experience, sound judgment, and the ability to provide practical, business-oriented counsel to internal stakeholders in a fast-paced environment.

Responsibilities

  • Draft, review, and negotiate a wide variety of contracts, including collaboration, licensing, consulting, manufacturing, clinical trial, and vendor agreements.
  • Provide strategic legal and business counsel to internal clients on transaction structure, risk management, and contract strategy.
  • Serve as a key legal advisor for ongoing R&D agreements and initiatives.
  • Identify and communicate operational and legal risks to internal decision‑makers and recommend solutions.
  • Maintain and update contract templates and ensure compliance with industry standards and applicable laws.
  • Support continuous improvement of legal processes and contract management efficiency.
  • Collaborate effectively with cross‑functional teams, including R&D, operations, and finance.

Qualifications

  • Juris Doctor (J.D.) from an accredited law school and active bar membership (California preferred).
  • 3–8 years of relevant experience as a transactional attorney in a law firm or in‑house legal department, preferably in the biotechnology or pharmaceutical industry.
  • Extensive experience drafting and negotiating complex contracts supporting drug research and development activities.
