This is an extraordinary opportunity for a seasoned legal professional to provide strategic direction and legal advice on a broad range of issues. You will be instrumental in driving key initiatives, managing complex transactions, and ensuring the company's compliance with all applicable laws and regulations. The ideal candidate will have expertise in Entity Formation, multi-state, multi-site, Mergers and Acquisitions, and Franchise Attorney matters.

Responsibilities

• Provide legal counsel and strategic guidance to senior management on all matters of law and policy affecting the company's operations, including Entity Formation, multi-state, multi-site, Mergers and Acquisitions, and Franchise law.
• Oversee and manage all legal affairs of the company, including contract negotiations, litigation management, intellectual property protection, and regulatory compliance.
• Draft, review, and negotiate a wide variety of complex commercial agreements and contracts.
• Manage the company's legal risk by developing and implementing policies and procedures to ensure compliance with all applicable laws and regulations.
• Advise on corporate governance matters and assist in the preparation of board materials.
• Develop and maintain relationships with external legal counsel and manage their work effectively and efficiently.
• Provide training to company personnel on legal matters, including compliance, contract matters, and risk management.

Qualifications

• Juris Doctor (JD) degree from an accredited law school.
• Must be a member in good standing of a state bar.
• A minimum of 5 years of experience as a General Counsel or equivalent, preferably in the Accounting and Finance industry.
• Proven experience in Entity Formation, multi-state, multi-site, Mergers and Acquisitions, and Franchise law.
• Strong knowledge of federal, state, and local laws and regulations applicable to the Accounting and Finance industry.
• Exceptional negotiation skills with the ability to resolve complex legal and business issues.
• Excellent interpersonal and communication skills, with the ability to advise and influence senior management and other stakeholders.
• Strong leadership skills with the ability to manage and direct a team.
• High ethical standards and professional integrity.
