Paralegal, Corporate at OpenAI. This role is based in San Francisco, CA, with a hybrid work model of 3 days in the office per week. Compensation range: $145K.
OpenAI's Legal team plays a crucial role in furthering OpenAI's mission by tackling innovative, fundamental legal issues in AI. The team comprises professionals from diverse fields, including technology, AI, privacy, IP, employment, tax law, regulatory, litigation, and corporate.
In This Role, You Will Be Responsible For
- Support routine and complex corporate governance across OpenAI's global subsidiaries, including board meetings, officer appointments, annual returns, statutory registers, and other filings and corporate records.
- Draft, review, and finalize corporate documents, such as board resolutions, certificates, consents, appointment letters, and limited powers of attorney.
- Evaluate, scope, and form new international subsidiaries.
- Manage and maintain OpenAI's global entity management platform.
- Support global KYC, UBO, and regulatory compliance processes with financial institutions, regulators, and external counsel.
- Support execution logistics, including signature collection, notarization, and legalization of documents across multiple jurisdictions.
- Serve as a corporate paralegal liaison with cross-functional teams (tax, finance, treasury, accounting, regulatory, employment and commercial legal) to support restructurings, capital needs, inter-company agreements, international compliance, and strategic transactions.
- Identify areas to improve existing processes with AI, and generally improve leverage across the team.
- Provide project management and cross-functional coordination for special projects.
You Might Thrive In This Role If You Have
- Bachelor's degree
- 6+ years of corporate paralegal experience with a mix of in-house technology company and major law firm roles
- Strong working knowledge of corporate governance, subsidiary management, entity compliance (U.S. and international), KYC/UBO, regulatory filings, corporate record keeping, and secretary's office functions
- Demonstrated ability to independently manage various work streams and time-sensitive projects across multiple jurisdictions
- Exceptional drafting, organizational, and communication skills and attention to detail
- Proficiency with entity management software (e.g., hCue, Diligent, GEMS)
- Ability to work collaboratively with cross-functional partners at all levels of the organization
- Strong work ethic, commitment and sense of ownership; enjoy being continually challenged; able to effectively prioritize and adapt in a changing environment
