Reporting directly to the Company's CEO, the General Counsel will manage or support general corporate and securities matters, offer primary legal support, and advise on business development and financing transactions. You will lead contract negotiations and maintain compliance with laws/regulations specific to the retail contracts, food distribution and trading industries, as well as oversee and provide guidance on ongoing litigation and serve as the main point of contact for external law firms currently engaged.

This role requires collaboration with the CEO and Management Team, serving as the sole in-house legal advisor, keeping us one step ahead in all legal matters. This is a great opportunity for someone experienced to build out our legal team as our company continues to strive and grow!

Job Details

Responsibilities
  • Negotiate and draft contracts and other legal agreements, including customer and vendor contracts, employment agreements, and licensing agreements.
  • Provide legal guidance and support to the company on a wide range of legal and regulatory issues including contract negotiation, and compliance with laws and regulations.
  • Develop and implement legal policies and procedures and provide training to the company's employees on legal and regulatory matters.
  • Manage the company's legal affairs, including risk management and dispute resolution.
  • Manage and drive current ongoing litigation.
  • Oversee, advise, and escalate collections.
  • Monitor developments in changes to laws and legislation (e.g.. Department of Agriculture by State) and provide advice on compliance with applicable laws and regulations.
Qualifications
  • Active and in good standing with the CA State Bar.
  • J.D. degree from an accredited law school.
  • 5+ years of litigation experience, including handling employment law matters.
  • Strong knowledge of creditor's rights and commercial contract negotiation
  • Excellent negotiation, drafting, and oral and written communication skills.
  • Strong interpersonal skills and the ability to work collaboratively with cross-functional teams.
  • Must be able to work out of our headquarters in Irvine, CA.
Preferred Experience
  • 5+ years in the food and trading industries preferred.
  • Real estate law experience would be a bonus.
  • Food industry/ commodity trading experience is a plus.
